Westerville Art League Constitution
Article 1: Purpose
The purpose of the Westerville Art League shall be: To bring together those interested in art, to stimulate interest in art, and to promote art in the community.
Article 2: Membership
Membership shall be open to anyone interested in the purpose and objective of this club.
Membership will be encouraged for artists and art patrons.
Article 3: Officers
Officers shall be President, Vice-President, Secretary and Treasurer.
The Board of Directors shall consist of the officers, the immediate past President and chairpersons of Standing Committees.
Standing Committees shall be appointed by the President at the beginning of each fiscal year.
In case of resignation of an officer, the Board will appoint a replacement until an election can be held at the next meeting.
Article 4: Duties of the Officers
The President shall preside at all meetings of the club, shall be an ex-officio member of all committees, and shall preside at Board meetings.
The Vice-President shall preside at meetings in the absence of the President and will be responsible for the yearly program as Program Chairperson.
The Secretary shall have charge of all papers, keep such papers, make such reports and perform duties incidental to the office.
The Treasurer shall have charge of all funds of the club, shall conduct its banking business, audit all accounts, and submit a monthly financial report to the club.
Article 5: Election of Officers
The Board of Directors shall act as nominating committee and submit a single slate of nominees at the April meeting.
Election shall be vocal unless there are nominations from the floor, in which case the elections shall be by ballot.
Article 6: Meetings
There shall be a meeting held the FOURTH TUESDAY of every month except June, July, August and December.
A Quorum for the transaction of business shall consist of 1/3 of the active members.
Board meetings shall be called by the President as needed.
The Annual Meeting for the election of officers shall be in May. Officers shall be elected for a one-year term, to begin in June.
Article 7: Dues
Annual membership dues shall be required. Amount and mode of payment shall be determined by the Board of Directors.
Article 8: Annual Show
The Annual show, an exhibit of art work by members in good stand, shall be an important part of the Westerville Art League program. The board shall appoint a committee to make show arrangemetns. The Committee shall determine the time, place and applicable regulations.
Members in good standing are those who have paid dues by Dec. 31 preceding the Annual Show and have attended at least 25% of the scheduled meetings. (Adopted Sept. 1987)
First year members only, having joined within the first six months of eight scheduled meetings, shall pay dues on or before their first meeting attended. They will be considered members in good standing after attendance at two meetings and eligible to enter the Spring Show and other League functions. (Adopted May 1994)
Only members in good standing shall participate in shows, critiques and other club functions (Adopted Sept. 1983).
Article 9: Amendments
This Constitution may be amended by a 2/3 vote of active members. Votes may be secured by mail. (Adopted Jan 1978).
Article 10: Patron Membership
Adopted September 1989
The League will offer a new category of membership, to be known as a PATRON MEMBERSHIP, for a yearly fee of $25.00. Said income to be used for financing the Annual Show or other Special Events which may encourage Art in the community, such as scholarships. The Patron Membership Fund may be used for purchasing equipment for the use of the League.
An appropriate Patron Membership Certificate shall be presented each such member and each shall be recognized in the Catalog of the Annual show.
